PUBLIC OFFER FOR THE PURCHASE OF “FLOWERS AND GIFTS”

Definitions

1.1. "Buyer" — any person (individual, sole proprietor, or legal entity) who, by placing an order (hereinafter referred to as the "Order") for the purchase and delivery of "Flowers and Gifts" listed on the "Website", accepts this public offer by the Seller to conclude a purchase and delivery agreement.

1.2. "Seller" — an organization, regardless of its legal form, offering products to consumers under a purchase agreement.

1.3. "Recipient" — the individuals specified by the Buyer to receive the delivered Flowers and Gifts.

1.4. "Offer Acceptance" — full and unconditional acceptance of this Offer by the Buyer by placing and paying for an Order on the Website.

1.5. "Website" — the online store tg.uz, which contains structured information about the Seller’s goods and services, including descriptions and prices.

1.6. "Agreement" — the contract for the purchase and delivery of “Flowers and Gifts”.

1.7. "Flowers" — a professionally arranged combination of flowers and plants, packaging (baskets, pots, boxes, ribbons, etc.), greeting cards, and optional gifts, customized to the Buyer’s request and listed on the Website.

1.8. "Gifts" — additional and related goods offered for sale on the Seller’s Website.

1.9. "Order" — the Buyer's application for the purchase and delivery of Flowers and Gifts, placed on the Seller’s Website, containing mutually agreed details on quantity, quality, delivery time, and location.

1.10. "Price" — the amount of money the Seller charges for a product unit (flowers, gifts).

 1.10.1. Product prices are listed on the Website.

 1.10.2. The Seller may change prices unilaterally.

 1.10.3. Updated prices must be reflected on the Website; otherwise, the change is invalid.

 1.10.4. The Seller may not change the price of an already paid Order.

 1.10.5. Delivery costs are shown on the Website or provided during Order placement.

 1.10.6. The Buyer’s payment obligation is fulfilled once the Seller receives the funds.

1.11. "Promotion" — a marketing activity conducted by the Seller to increase customer loyalty.

 "Promotional offer" — may include a discount displayed as a crossed-out original price with a new discounted price.

 1.11.1. Discounts from different promotions cannot be combined.

Subject of the Agreement

2.1. This public offer (Agreement) is the official proposal by TOSHKENT GULLARI GROUP LLC to any legally capable person or organization to enter into this Agreement under the terms stated herein.

2.2. Acceptance of this Offer is performed by placing an Order on the Website tg.uz.

2.3. Based on this Agreement, the Seller agrees to sell the Flowers and arrange delivery to Recipients, and the Buyer agrees to pay under the conditions of the Offer. Product names and quantities are determined by the Buyer's Order according to the Website’s rules.

2.4. The total cost (the “Order Amount”) includes both product price and delivery cost.

2.5. For remote delivery areas or rare flowers, the final price and delivery conditions are agreed via phone, messenger, or email.

2.6. Delivery is made to the Recipient at the address specified in the Order. Delivery time depends on flower type, delivery zone, and day. Details are in the "Delivery and Payment" section.

Rights and Obligations of the Parties

3.1. The Seller must:

 3.1.1. Deliver Flowers to the Recipient per the accepted Order.

 3.1.2. If product quality is inadequate, satisfy the Buyer's claim: refund or re-deliver.

 3.1.3. If the Recipient is unavailable or refuses delivery, the flowers will be placed in storage. The Buyer must collect them within 24 hours or pay for redelivery. After that, the Order is considered fulfilled with a 50% retention.

3.2. The Seller may:

 3.2.1. Withhold full Order payment if the address is incorrect or incomplete unless redelivery is agreed upon and paid for.

 3.2.2. Deliver to a different address if agreed with the Recipient.

 3.2.3. Refuse delivery without refund, or request additional payment if the Buyer provides the wrong city.

 3.2.4. In case of Buyer cancellation not caused by the Seller, withhold:

100% if canceled less than 2 hours before delivery

50% if canceled within 2–24 hours before delivery

30% if canceled 1–3 days before delivery

15% if canceled more than 3 days before delivery

3.3. The Buyer must:

 3.3.1. Pay for the Order before delivery using payment methods listed in "Delivery and Payment".

 3.3.2. Reimburse the Seller for additional expenses caused by the Buyer.

3.4. The Buyer may:

 3.4.1. Receive discounts if conditions listed on the Website are met.

Additional Terms

4.1. The Agreement becomes effective upon the Seller receiving the Order and remains valid until all obligations are fulfilled.

4.2. By placing an Order, the Buyer confirms full agreement with this Offer and all terms listed on tg.uz.

4.3. The Buyer acknowledges:

 4.3.1. Seasonal changes may result in up to 15% variation in bouquet composition or chocolate contents. Minor color variation may also occur.

 4.3.2. During holidays, a 15% florist fee is applied.

 4.3.3. Up to 15% content variation may occur in bouquets and compositions during holidays.

 4.3.4. Upon signing the delivery slip, all responsibility for care and storage shifts to the Recipient. Claims about quality or appearance will not be accepted. Flowers are perishable.

As per Resolution No. 185 of the Cabinet of Ministers of the Republic of Uzbekistan dated April 6, 2017, cut flowers and potted plants cannot be exchanged or returned (Clause 12).
